1. INTRODUCTION

This Acceptable Use Policy (“Policy”) forms an integral part of the Terms and Conditions governing the use of the website https://circen.net/ and services provided by CIRCLE GREEN LIMITED (“Circle Green”, “we”, “us”, or “our”).

This Policy sets out the rules and restrictions that apply to all users of the Circle Green platform, including its document processing, file conversion, and cloud-based productivity services (Circle Green).

By using the Services, you agree to comply with this Policy.

This Policy should be read alongside:

2. GENERAL PRINCIPLES

You must use the Services:

  • lawfully and responsibly, in compliance with all applicable local, national, and international laws and regulations;

  • in a manner that respects the rights of other users, third parties, and Circle Green;

  • without impairing the security, integrity, availability, or performance of the platform; and

  • in accordance with the spirit as well as the letter of this Policy.

These principles apply to all content you upload, all actions you take on the platform, and all use you make of processed outputs.

3. PROHIBITED USES

You must not use the Services in any way that involves, facilitates, or enables any of the following:

3.1 Illegal Activities

You must not:

  • upload, store, process, or distribute content that is unlawful under any applicable law;

  • use the Services to engage in, plan, facilitate, or conceal fraudulent, deceptive, or criminal activity of any kind;

  • violate any applicable local, national, or international law or regulation, including the laws of England and Wales and any jurisdiction from which you access the Services; or

  • use the Services to evade or circumvent any applicable sanctions regime, including those administered by the Office of Financial Sanctions Implementation (OFSI) in the United Kingdom, the European Union, or the United States Office of Foreign Assets Control (OFAC), or to assist any person or entity that is subject to sanctions or export control restrictions.

3.2 Illegal Content and Online Safety

You must not upload, process, or distribute through the Services any content that:

  • is illegal in the United Kingdom, including without limitation child sexual abuse material (CSAM), terrorist content, content that incites violence or hatred, or content that constitutes a criminal offence under any applicable law;

  • constitutes priority illegal content or other illegal content as defined under the Online Safety Act 2023 (“OSA 2023”), including content harmful to children;

  • depicts or facilitates child sexual exploitation or abuse, or any content that sexualises minors in any way; or

  • promotes, glorifies, or facilitates terrorism, extremism, or mass violence.

Circle Green is committed to compliance with its obligations under the Online Safety Act 2023. Where Circle Green becomes aware of illegal content on the platform, including CSAM or terrorist content, it will take immediate action to remove it and report it to the appropriate authorities, including the Internet Watch Foundation (IWF) and the National Crime Agency (NCA), as required by law.

3.3 Intellectual Property Infringement

You must not:

  • upload or process copyrighted material without the consent of the rights holder or a valid legal basis (including a statutory permitted act);

  • infringe any trademark, database right, design right, trade secret, or other intellectual property right belonging to any third party;

  • reproduce or distribute protected works without authorisation; or

  • use the Services in a manner that infringes the moral rights of any author under the Copyright, Designs and Patents Act 1988.

You may rely on a statutory permitted act under the Copyright, Designs and Patents Act 1988 (including fair dealing for the purposes of research, private study, criticism, review, or news reporting under ss.29–31) to the extent applicable. Circle Green does not grant any licence to infringe third-party intellectual property rights.

3.4 Misuse of Personal Data

You must not:

  • upload personal data of third parties without a valid lawful basis under UK GDPR, Article 6 (and Article 9 where special category data is involved);

  • process personal data through the Services in a manner that violates UK GDPR, EU GDPR, or any other applicable data protection law;

  • upload personal data belonging to individuals who have not been informed of or consented to such processing, where required by law; or

  • use the Services to conduct surveillance, track individuals, build profiles, or engage in any processing that would constitute a disproportionate interference with individuals’ right to privacy under Article 8 of the European Convention on Human Rights.

3.5 Upload of Sensitive or Confidential Data

You must not upload to the Services:

  • special category personal data as defined in UK GDPR, Article 9, including data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetic data, biometric data used for identification purposes, health data, sex life data, or sexual orientation data, unless you have a valid condition under Article 9(2) and are acting as data controller with full legal authority;

  • confidential business, government, or national security information without proper authorisation from all relevant parties;

  • financial data, identification documents, or security-sensitive information unless you have full legal authority to process it; or

  • personal data of children under the age of 18 unless you have appropriate legal authority and safeguards in place.

Circle Green processes uploaded files as a data processor only. You, as the data controller, are solely responsible for ensuring that the upload and processing of any such data complies with applicable law. Circle Green accepts no liability arising from your failure to comply with this restriction.

3.6 Malware and Malicious Code

You must not:

  • upload, store, process, or distribute files containing viruses, malware, spyware, ransomware, adware, rootkits, keyloggers, trojans, worms, or any other harmful or malicious code;

  • use the Services to distribute, deploy, or execute malicious software or payloads;

  • use the platform to host, stage, or transmit cyberattack tools or exploit kits; or

  • introduce any code or material that could impair, corrupt, or disrupt the Services or any third-party system.

3.7 Unauthorised Access and Security Violations

You must not:

  • attempt to gain unauthorised access to the Services, Circle Green’s systems or networks, or any other computer system or data;

  • bypass, circumvent, disable, or otherwise interfere with any authentication, authorisation, access control, or security mechanism;

  • probe, scan, test, or exploit vulnerabilities in the Services or any connected system without Circle Green’s express prior written consent; or

  • use the Services to facilitate unauthorised access to any third-party system, network, or data.

Penetration testing or security research on the Services requires explicit prior written authorisation from Circle Green. Unauthorised security testing is a criminal offence.

3.8 System Abuse and Interference

You must not:

• interfere with or disrupt the operation, integrity, or availability of the platform or any system connected to it;

• overload or degrade platform infrastructure through disproportionate or unreasonable usage;

• generate artificially high traffic, requests, or load;

• engage in any denial-of-service (DoS) or distributed denial-of-service (DDoS) activity; or

• conduct any activity that could damage, disable, or materially impair the Services or Circle Green’s infrastructure.

3.9 Automated Abuse and Scraping

You must not:

  • use bots, scripts, crawlers, spiders, or other automated tools to access or interact with the Services in a manner that exceeds normal human usage or places a disproportionate load on infrastructure;

  • scrape, harvest, extract, or systematically collect data from the Services without Circle Green’s prior written consent;

  • use the Services for mass automated document processing in a manner that circumvents fair use limits or pricing structures; or

  • use automated means to bypass any rate limits, access controls, or usage thresholds.

Circle Green may implement technical rate-limiting measures. Attempts to circumvent such measures constitute a breach of this Policy and may constitute a breach of the Computer Misuse Act 1990.

3.10 Reverse Engineering and Platform Replication

You must not:

  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or architecture of any part of the Services, except to the extent expressly permitted by law;

  • replicate, copy, or reproduce the functionality of the platform or any part of it without Circle Green’s prior written consent; or

  • use any output or intelligence derived from the Services to build or assist in building a competing service.

Decompilation is permitted solely to the extent required to achieve interoperability with an independently created program, in accordance with the Copyright, Designs and Patents Act 1988, s.50B. Any decompilation beyond this limited exception is a breach of this Policy and may constitute copyright infringement.

3.11 Misrepresentation and Identity Abuse

You must not:

  • impersonate any individual, company, organisation, or government entity;

  • misrepresent your identity, affiliation, authority, or relationship to Circle Green or any third party;

  • use the Services to create, alter, or process documents for the purpose of deception, fraud, or misrepresentation; or

  • forge, alter, or falsify any document, record, signature, or identity credential through the Services.

4. USER RESPONSIBILITY FOR UPLOADED CONTENT

You are solely responsible for all content and files you upload to the Services. By uploading any content, you warrant that:

  • you own the content or hold all necessary rights, licences, and permissions to upload and process it through the Services;

  • the content complies fully with this Policy, the Terms, and all applicable laws;

  • the content does not violate any third-party rights, including intellectual property rights, privacy rights, or rights of personality;

  • where the content contains personal data, you have a valid lawful basis for processing it and have complied with all applicable data protection obligations; and

  • you are not subject to any legal obligation (contractual, regulatory, or otherwise) that would prevent or restrict your uploading or processing of the content.

Circle Green does not proactively monitor, review, or verify uploaded content prior to or during processing. This does not limit Circle Green’s right to take action upon becoming aware of content that violates this Policy, applicable law, or the Terms.

5. DOCUMENT PROCESSING RISKS

The Services process documents automatically without human review. By using the Services, you acknowledge that:

  • files you upload may contain personal data, sensitive information, confidential business data, or other material requiring specific legal authority to process;

  • you are solely responsible for ensuring that your use of the Services to process any such content is lawful;

  • Circle Green does not validate the legality, accuracy, or integrity of uploaded content or processed outputs;

  • processed outputs are provided on an ‘as is’ basis; you are responsible for verifying all outputs before relying on them; and

  • Circle Green’s liability for processing errors, data corruption, or output inaccuracies is limited as set out in the Clause 12 of these Terms.

6. ENFORCEMENT

Circle Green reserves the right to investigate suspected violations of this Policy and to take enforcement action proportionate to the severity of the violation. Enforcement action will be taken in a manner consistent with our obligations under applicable law, including the Consumer Rights Act 2015 and the Digital Markets, Competition and Consumers Act 2024.

Enforcement actions are graduated according to the severity of the violation.

7. REPORTING VIOLATIONS

If you become aware of any misuse of the Services or a suspected breach of this Policy by another user, please report it to us:

Reports should include as much detail as possible, including the nature of the suspected violation, any relevant file names or identifiers, and the time and date of the observed activity. Circle Green will treat all reports in confidence and investigate them in accordance with this Policy.

8. CHANGES TO THIS POLICY

We review this Policy at a minimum on an annual basis to ensure compliance with digital safety and e-commerce regulations, and additionally whenever new legislation comes into force that materially affects its scope.

Material changes, particularly changes that expand the scope of prohibited conduct or alter enforcement consequences, will be notified to you by email (where we hold your address) at least 30 days before the changes take effect, and/or by a prominent notice on the Website.

Where you are a consumer and the changes would materially disadvantage you, you retain the right to terminate your use of the Services without penalty during this 30-day notice period.

9. GOVERNING LAW AND JURISDICTION

This Policy is governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this Policy shall be subject to the jurisdiction provisions set out in the Terms and Conditions, Section 18.

Nothing in this Policy affects any mandatory consumer protection rights you have under the laws of your country of habitual residence that cannot be excluded by contract. EU consumers retain rights under their applicable national law and EU GDPR regardless of this governing law clause.
